WORKING SCHEDULE FOR FORMATIONOF A JOINT VENTURE
EDF（中国）投资有限公司(“法电中国”)于2016年7了月独资在武汉市蔡甸区设立了法电能源管理(武汉)有限公可(“法电武汉”)。法电武汉致力于在位于蔡甸区的中法生态城以及武汉市的其他地区开发和运营能源服务项目。
EDF(China)Holding Ltd(“EDF China”),as the sole investor, established EDF Energy Management (Wuhan) Co., Ltd. (“EDFWuhan”) in July 2016 in CaidianDistrict, Wuhan City. EDF wuhan is focused on development and operation ofenergy service project in Sino-French Eco-City which is located in CaidianDistrict and other areas in Wuhan City
中法武汉生态示范城投资开发有限公司(“中法投”)是一家由武汉市蔡甸区全资控股的公司,其业务经营包含投资示范项目建设、生态管理和公共事业项目,以及生态城市项目的投资、运营和维护等。
Sino-French WuhanEcological Demonstration City Investment and Development(“EDCID”) is a company wholly owned by the Caidian District of Wuhan City and its businessactivities include investment in construction of demonstrative project,ecologicalmanagement and the investment in common interest projects, and the investment,operation and maintenance of urban ecological projects, etc.
中法投有意与法电中国合作以共同在中法生态城和武汉市的其他地区开发能源服务项目,为此中法投愿意投资入股法电武汉将其变更为由法电中国与中法投组成的合资公司。法电中国亦愿意与中法投共同开发能源服务项目,并欢迎中法投投资入股法电武汉。为此目的,法电中国和中法投已开始就后者投资入股法电武汉的相关事宜和交易文件进行了协商、谈判。
EDCID intends tocooperate with EDF China to jointly develop energy service projects inSino-French Eco-City as well as other areas in Wuhan City, and thereby it wouldlike to make an equity investment in EDF Wuhan and transform the latter to be ajoint venture formed by EDF China and EDCID. EDF China would also like to cooperatewith EDCID to jointly develop energy service projects and welcomes EDCID'sinvestment in EDF Wuhan. For this purpose, EDF China and EDCID have started toconsult and negotiate on the matters and the transactional documents relatingto EDCID's investment in EDF Wuhan.
有鉴于此,法电中国和中法投有意就有关双方组建合资公司的剩余工作制定以下工作计划表,并将尽力按该工作计划表开展剩余工作:
NOW THEREFORE, EDFChina and EDCID would like to set out the following working schedule for theremaining works regarding the joint venture to be formed by them and willendeavour to do their best to follow such working schedule to carry out theremaining works:
